By using the Services (as defined below), You agree to the terms below.

Many of the sections of this Agreement offer "Summaries" at the beginning, which are meant merely to explain the terms of the Agreement and are not meant to offer additional or different terms.


1. Scope of Agreement

These Terms and Conditions of Use (otherwise known as the "Agreement") is between you, ("You"), and Connectfied LLC ("Connectfied" or "We" or "Us").

These Terms and Conditions apply to your use of the Site located at connectfied.com. The information provided on the Site, as well as mobile applications we may provide, any emails you may receive from Us, or any orders we fulfill upon request from you or services we provide for you related to connecting e-commerce platforms with print-on-demand fulfillment services constitute the Services.

When You use the Services, these are the terms that will govern Your use. We may change the terms of this Agreement from time to time if needed, but will post a notice of such changes so that You know what they are.

Our Site, App, and Services are not directed at children under 18 years of age, and we do not knowingly collect or receive Personal Information from them.

2. Services

SUMMARY: Connectfied provides a platform that connects e-commerce businesses with print-on-demand fulfillment services. We do not manufacture products ourselves.

Connectfied uses the Services to process user orders ("Orders"), accept images for the purpose of providing Products, process user payments through third-party payment processors, aggregate user Orders, and transfer them to a network of unaffiliated, third-party manufacturers (each, a "Vendor") for production and fulfillment. Connectfied does not manufacture Products, and once an Order is accepted by a Vendor, the Vendor is responsible for Order fulfillment.

2.1 Orders

Users submit all Orders to Connectfied via the Services, and all requested Order information must be provided for the Services to accept an Order. You are responsible for the accuracy of all Order information you submit and for all choices made during the Order process, including the selection of images to be printed, the number and format to be printed, shipping recipient and shipping address and the lawfulness of the order. You should carefully review the Order before placing such an Order. Connectfied is responsible neither for delays in processing or fulfilling Orders caused by incomplete or incorrect Order information nor for any errors made by you during the Order process.

2.2 Vendors

Connectfied does not create, manufacture, sell, resell, provide, control, deliver or supply any Products. All Product production is performed by independent Vendors who have agreed to accept and fulfill orders from the Services. We work with Vendors to ensure that Orders are processed, produced and shipped as quickly as possible, and estimated timing for most Orders is provided by the Services when the Order is placed, but these are estimates only, and Connectfied makes no guarantees respecting Vendor performance. While we constantly review Vendors and work with them to ensure that they meet user expectations, all Vendors are independent contractors, and we are not responsible for their performance in the printing or shipment of your Products, including with respect to issues with quality, quantity or delays in delivery of such Products.

3. Registration for Use of the Services

In order to provide you with services, we may require you to establish an account with us. You are responsible to keep your username and password safe, as you are responsible for any activity which occurs through your account, including orders placed.

4. Permission for Electronic Communication

By accessing or using the Service, registering, sending an email or otherwise communicating with Connectfied through the Service, you are communicating with Connectfied electronically, and you agree to receive electronic communication from Connectfied, by email and by posting to any of the Properties. You agree that any electronic communication from Connectfied satisfies any legal requirements that such communication must be in writing. You also agree that any communications or materials that you provide to Connectfied or the Service, including, without limitation, by posting to the Service, email or otherwise, are and will be treated as non-confidential and non-proprietary.

5. Content on the Services

The content on this Site may change at any time.

The Services contain content developed by Us and other third parties ("Content"). We do not warrant the accuracy of any information on the Services.

6. Licenses

We grant You a limited, revocable, non-exclusive and non-transferable license, to access and use the Services for Your internal business purposes. You may not resell the Services.

7. Availability and Use of the Services

SUMMARY: The Services may not always be available, and We are not responsible for any interruption in Service availability. You must comply with Our Acceptable Use Policy.

A. The availability of the Services depends on many factors, including some factors that are beyond Our control, such as Your connection to the Internet and the Internet backbone. We shall not be liable to You if You cannot use the Services due to any reason. You are responsible for making sure your computer or mobile device has the right software to allow you to access and use the Services.

B. You are responsible for complying with Connectfied's Acceptable Use Policy, which is incorporated into this Agreement.

C. We reserve the right to access or modify your data to ensure platform integrity, security and to be able to provide support.

7.1. Chargebacks and Account Termination

By using the Services, you agree to the following terms regarding chargebacks and disputed payments:

A. If you initiate a chargeback or dispute a payment with your credit card provider or financial institution, we reserve the right to terminate your account without notice.

B. Upon initiation of a chargeback, you will be prohibited from using our Services in the future.

C. Any attempt to re-register or use our Services after your account has been terminated due to a chargeback will be denied.

If you have a dispute regarding any charge, we encourage you to contact our customer support team first to resolve the issue before initiating a chargeback.

8. User Content

SUMMARY: You are responsible for all content you upload to our Services. You grant us a license to use this content to provide the Services.

A. You acknowledge and agree that you are responsible for all text, images, photographs, or other materials provided or uploaded by you to the Services ("User Content"), whether publicly posted or privately transmitted, on or through the Services. You, and not Connectfied, are solely responsible for all User Content that is associated with your Account.

B. For each piece of User Content that you submit, you represent and warrant that: (i) you have the right to submit the User Content to us and grant the licenses set forth in this Section; (ii) Connectfied will not need to obtain licenses from any third party or pay royalties to any third party to use such User Content; (iii) the User Content does not infringe, violate or misappropriate any third party's rights, including any copyrights, trademarks or other intellectual property rights and privacy rights; and (iv) the User Content complies with these Terms and all applicable laws.

C. YOU ARE SOLELY AND FULLY RESPONSIBLE AND LIABLE FOR ALL ARTWORK, DESIGNS, TEXT, GRAPHICS, AND OTHER CONTENT THAT YOU REQUEST TO BE PRINTED. NEITHER CONNECTFIED NOR ANY PARTNER IN OUR PRINT PARTNER NETWORK WILL BE LIABLE OR RESPONSIBLE UNDER ANY CIRCUMSTANCES FOR ANY INFRINGEMENT OR ALLEGED INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, INCLUDING BUT NOT LIMITED TO COPYRIGHT, TRADEMARK, OR PATENT INFRINGEMENT, RELATED TO YOUR USER CONTENT. YOU ASSUME ALL RESPONSIBILITY AND LIABILITY FOR ENSURING THAT YOU HAVE THE NECESSARY RIGHTS AND PERMISSIONS TO REPRODUCE, DISTRIBUTE, AND SELL PRODUCTS FEATURING YOUR USER CONTENT.

D. By posting, displaying, sharing or distributing the User Content on or through the Services, you grant Connectfied a nonexclusive license to use the User Content solely for the purpose of operating the Services. Connectfied will not modify, copy, translate or make any derivative works of User Content except as required to deliver the benefits of the Services.

9. Governing Law and Jurisdiction; Limit on Commencing Actions

(a) This Agreement is governed by the laws of the State of Wyoming, U.S.A. without regard to the conflicts of laws principles thereof. You consent to the exclusive jurisdiction and venue of the state and federal courts in Wyoming in all disputes arising out of or relating to the use of the Services.

(b) You must commence any cause of action or claim against Us within one (1) year after the cause of action or claim arises, otherwise You agree that Your cause of action or claim shall be barred.

10. Warranty Disclaimer; Limitation of Liability

SUMMARY: We offer the Services "as is." We are not liable to You for any damages except direct, provable damages, and not for more than what You have paid Us in the month before the damage occurred.

(a) ALL CONTENT, SERVICES AND TRANSACTIONS ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. THE SERVICES MAY INCLUDE INACCURACIES, MISTAKES OR TYPOGRAPHICAL ERRORS. CONNECTFIED DOES NOT WARRANT THAT THE CONTENT WILL BE UNINTERRUPTED OR ERROR FREE. CONNECTFIED DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, TITLE, QUIET ENJOYMENT, DATA ACCURACY AND SYSTEM INTEGRATION.

(b) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONNECTFIED, ITS PARENT, SUBSIDIARIES OR AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR PUNITIVE, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, INDIRECT OR SPECIAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUES, BUSINESS, USE, DATA OR OTHER INTANGIBLES), WHETHER OR NOT SUCH DAMAGES WERE FORESEEABLE AND EVEN IF CONNECTFIED HAD BEEN ADVISED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES.

TOTAL LIABILITY TO YOU FOR ANY DAMAGES (REGARDLESS OF THE FORM OF ACTION, WHETHER CONTRACT, WARRANTY, TORT, PRODUCT LIABILITY AND/OR OTHERWISE) SHALL NOT EXCEED IN THE AGGREGATE THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO CONNECTFIED FOR THE ONE MONTH PERIOD PRIOR TO THE ACT ALLEGEDLY GIVING RISE TO CONNECTFIED'S LIABILITY.

11. Indemnity

SUMMARY: You agree to cover Our costs for any damage caused by You, including any damage to a third party. You specifically agree to indemnify Us for any intellectual property infringement claims related to your artwork.

You agree to indemnify, defend and hold harmless Connectfied, its parent, subsidiaries, affiliates, print partners, vendors, and their respective officers, directors, shareholders, employees and agents from and against any and all claims, liabilities, expenses (including attorneys' fees) and damages arising out of claims resulting from Your access or connection to, or use of this the Services, including without limitation claims arising out of information or materials submitted to the Services by You, Your violation of a third party's intellectual property or other rights, or any claims alleging facts that if true would constitute a breach by You of the terms and conditions of this Agreement.

YOU SPECIFICALLY AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS CONNECTFIED AND ITS PRINT PARTNERS FROM ANY AND ALL CLAIMS OF COPYRIGHT, TRADEMARK, PATENT, OR OTHER INTELLECTUAL PROPERTY INFRINGEMENT RELATED TO YOUR USER CONTENT, INCLUDING BUT NOT LIMITED TO ARTWORK, DESIGNS, LOGOS, TEXT, AND GRAPHICS THAT YOU REQUEST TO BE PRINTED OR REPRODUCED.

12. Dispute Resolution

A. Any dispute between you and Connectfied that may not be brought in small claims court will be resolved by binding arbitration conducted in the English language, in Sheridan, Wyoming before one commercial arbitrator from the American Arbitration Association ("AAA") with substantial experience in resolving commercial contract disputes and governed by the AAA's Commercial Arbitration Rules.

B. YOU ARE GIVING UP YOUR RIGHT TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY FOR ANY DISPUTE ARISING UNDER THESE TERMS EXCEPT FOR MATTERS THAT MAY BE TAKEN TO SMALL CLAIMS COURT. YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY.

C. ANY CLAIMS BROUGHT BY EITHER PARTY MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF.

14. Acceptable Use Policy

This Acceptable Use Policy describes prohibited uses of the Services offered by Connectfied and the website located at https://connectfied.com. The examples described in this Policy are not exhaustive. We may modify this Policy at any time by posting a revised version on the Site. By using the Services, you agree to the latest version of this Policy. If you violate the Policy or authorize or help others to do so, we may suspend or terminate your use of the Services.

No Illegal, Harmful, or Offensive Use or Content

We may terminate your access to the Service if we find in our reasonable discretion that your activities, including by using the Service, include activities that are illegal, harmful, fraudulent, or sharing content that is infringing or offensive. Prohibited activities or Content include:

  • Illegal, Harmful or Fraudulent Activities: Any activities that are illegal, that violate the rights of others, or that may be harmful to others, our operations or reputation.
  • Infringing Content: Content that infringes or misappropriates the intellectual property or proprietary rights of others.
  • Offensive Content: Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable.
  • Harmful Content: Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data.

No Security Violations

You may not use the Services to violate the security or integrity of any network, computer or communications system, software application, or network or computing device.

No Billing Abuse

  • Creating new trial accounts every time a trial period ends
  • Repeatedly reopening a locked store without payment
  • Initiating a chargeback, payment dispute, or other complaint about Connectfied to your financial institution without contacting our customer support team and allowing us to try to resolve the issue.

Our Monitoring and Enforcement

We reserve the right, but do not assume the obligation, to investigate any violation of this Policy or misuse of the Services. We may report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties.
